The film · 34 seconds
AI you can trust with your business. Built by business owners for business owners. Press play for sound.
The opening · two minutes
OPAL BLACK replaces about twelve separate tools with one assistant. Nothing is sent without your approval. We are raising US$3 million at a US$15 million pre-money.
01The monster
A small owner fights software every day. CRM, social, SEO, a phone bot, a loyalty card, a deck. Eleven of those tools, bought separately, cost up to A$2,230 a month, before the hours spent setting them up. The software slows the work.
02The weapon
One app. James drafts the quote, the post, the booking and the follow-up from your prices and your facts. The customer app, the QR, Nearby VIP, the CRM and the documents sit in the same place. Starter is A$139 a month in Australia, or US$89.
03The rule
Nothing is sent, posted or booked until you press Approve. James does not invent a number. A claim with no saved fact is blocked. Every approval is written to a log that is not edited later.
04The market
Australia has 2.8 million trading businesses, and just under a million of them employ staff. They will not wait six months for an enterprise rollout. We start here. A US path comes only if counsel clears it.
05The raise
US$3 million at a US$15 million pre-money. Post-money US$18 million. New money owns 16.67%. Existing holders keep 83.33%. Eighteen months to harden the product, the models and the log, and to measure the first customers in Australia.
The aim is a human-verified operating system for a small business. Confidential. Not an offer to buy shares in Australia or the United States. Not financial, legal, tax or investment advice.
The shop · 36 seconds
MyCoffee. Alice scans, gets a stamp, and turns alerts on. Within 50 metres she hears about today's special. The same app, for a salon, a dentist, a tradie. Powered by Opal Black. Press play for sound.
Three uses · the part only this app does
Med spa
Keep the clients you have. Fill the empty spots.
The bills are up and there is less left. Staff are hard to find. Home salons charge less. You ask James. He does the follow-ups, the posts, the offers, the paperwork. You approve what goes out. Your own app is live in minutes. Photos, videos and special offers land on the phone they already carry.
Real estate
One workspace. Absolute automation.
Agents are stuck in a maze of tools while listings dry up. Opal Black mines the database they already have, answers the late enquiry, builds the listing campaign, and takes the voice note after the open home.
The firm
Your AI partner.
Compliance is racing to zero margin. Firms are short of people and stuck in too many tools. Opal Black takes the admin off the team, and hands the advisors fifteen to twenty hours a week back.
Confidential. Not an offer to buy shares.
Post-money is US$18 million. New investors own 16.67%. The company keeps 83.33%. OPAL BLACK is one app for an owner who now pays for about twelve tools. It writes the quote, the post, the booking and the follow-up. Nothing is sent until they press Approve. Source of truth, the audit log, industry claim fences, client approval links, certified export, and model-cost routing are in the product as at this edition.
US$3 million at a US$15 million pre-money. New money owns 3 ÷ 18 of the company. Existing holders keep 83.33%. Confidential briefing for Australian seed readers and for readers in the United States. Not an offer of securities in either country. Not financial, legal, tax, or investment advice.

01 · The ask
Drawn in a straight line, that is US$166,667 a month for 18 months.
A monthly subscription. Starter US$89 or A$139. Growth US$199 or A$309. Scale US$399 or A$619. Australia pays Australian dollars, GST included. Other countries pay US dollars. Packs are included. Heavy jobs use credits.
The owner of a salon, a clinic front desk, a trade, a shop, or a small studio. Not a large Salesforce rollout.
Make Approve reliable, get the first Australian customers, and measure what one customer costs to win.
02 · The stack
Australian dollars a month. Each bar is the midpoint of the Edition 2 published range. Sorted by size.
Same monthly axis. Gold is the published tool range. Teal is OPAL BLACK list price in Australia, GST included.
Starts at A$1,655 a month, the middle of the stack. The teal bar is what is left if Growth at A$309 replaces every tool. Owners who buy fewer tools save less. The low stack, A$1,080, is still 3.5 times Growth.
Four groups, not eleven bars. Visibility is SEO, social and video. Pipeline is CRM, research, outreach and proposals. Front door is chat, the customer app and affiliates. Phone stands alone.
A$16k a yearDifference between the middle of that stack and Growth, per year, only if the owner was already paying for every tool.

Yearly is two months free: US$890 / A$1,390 · US$1,990 / A$3,090 · US$3,990 / A$6,190. Top-ups: A$20 = 2,000 credits, A$50 = 5,000, A$100 = 10,000. Unused credits roll for 12 months. Cancel any time; access runs to the end of the period. Extra images: A$12 for 100.
Edition 2. Top-ups are A$20 for 2,000 credits, so a credit is one cent at the top-up rate. Included plan credits are cheaper than that until they run out. Own model keys: those jobs cost no credits. The product shows both costs before the job runs.
03 · Approve
01
The owner types a normal sentence. Example: “Quote the Smiths for a hot-water system.”
02
OPAL uses the price list, the hours, the website and the notes. If it cannot find a number, it stops and asks.
03
The owner edits the draft, then presses Approve. Email goes to Gmail Drafts. The owner still sends it.
Every draft names the saved facts it used. The owner can lock a price, an hour, or a policy. A locked fact is not rewritten by the model.
A price, a percentage, or a guarantee that does not trace to a saved fact is blocked, or clearly flagged, before Approve. Strict mode is on for clinic, trade warranty, and real-estate packs.
Approve writes an immutable record: the facts and their version, the model, the person, and the time. The log can be exported. It is a product record, not an auditor’s opinion.
An approved document can leave as a PDF or a JSON package that carries the text, the sources, and the approval record.
A branded link lets a client or a location manager approve, ask for a change, or reject one draft. They do not see the rest of the workspace. The decision is written to the same log.
Med spa and aesthetics, trades, dental front desk, and real-estate services each ship with claim boundaries: what may be said about results, warranties, materials, licences, and disclaimers. The pack is a drafting fence. It is not clinical, legal, or financial advice.
The owner can take over a live call. After the call, the summary, the pipeline note, and the next email or text are drafts. Nothing is booked or sent until Approve.
Each job type has a default model. The screen shows the estimated cost on the plan credits and on the owner’s own key, then runs only after that is accepted. Own-key jobs do not spend OPAL credits.
The workspace shows time from draft to Approve, how many items cleared the queue, and what share used only locked facts. Pipeline and booking notes are labelled as directional. They are not a revenue report.
Quotes above A$500 are flagged by default, so a large quote gets a second look. A certified export is the company’s file of the approval. It is not an audit opinion.
04 · Market
Endpoints are published: US$19.33B in 2026 and US$205.88B in 2033, CAGR 40.2% (Research and Markets, 21 Oct 2026). The years between are our compound, not extra sources.
Gold: Fortune Business Insights as republished — reported 2024–26, then 12.4% toward the published 2034 figure of US$321B. Teal: Statista software-only, US$103.5B in 2026 to US$139.6B in 2031. Do not add them.
Teal is each house’s 2025 base, a tight cluster around US$7–8B. Gold is that house’s own endpoint, and the endpoints are not the same year: BCC and MarketsandMarkets stop at 2030, Market Glass at 2032, Polaris at 2034. Agentic AI (the line above) is a wider definition and is not on this chart.
Fortune regional dollars as republished. They sum to about US$130.5B against a US$126.2B global total. Shown as reported, not forced to balance.
US$ billions, collected by MarketSplash in September 2026. The last bar is MarketsandMarkets at US$47 billion. The cluster near US$7–10 billion is everyone else. That is why this page does not pick one market size.
On 30 June 2026 the ABS counted 2,814,778 businesses that were actively trading and 996,203 that had employees. In 2025–26, 460,461 businesses started and 375,331 closed.9 A 16.9% entry rate is a fact about the economy. It is not a sales forecast.
ABS. 2,814,778 businesses. The buyer with staff is in the employing group: 996,203. Not every ABN.
ABS counts. Teal above zero is businesses that started. Gold below zero is businesses that closed. Net new businesses are real. So is a 14% exit rate. Small-business software will lose customers at a similar rate.
ABS size bands. 1–19 employees is 922,512 businesses. Growth includes 5 users. Scale includes 20. The product allows up to 100 users. The first two bars are the customers we want.
Start with businesses that have employees. Choose what share could buy this. Then choose what share of those we might win. The default is 8% fit and 1.5% of that fit. That is about 1,195 accounts on Growth. It is meant to be small.
About two-thirds of 2025 agent spend was in large companies, according to Polaris.5 Small owners are not where that money is today. They also will not sit through a six-month CRM setup. That is the opening.

Scale takes the rest · 10%
Average list price $246, plus extra credit spend. Partner commission is 20% of payments for life, and only on customers a partner brought. Card fees are 2.9%.
The filled area is your sliders. The lines keep the slow, base and fast customer assumptions, on your plan mix, margin and extra credit spend. Customers at the start are zero unless you move that slider. This is not a forecast.
Bars are new customers that month, before anyone leaves. The line is ARR at the end of the month. People leaving is why the line is not the sum of the bars.
Average list price from the plan mix, plus extra credit spend. Gross margin is before card fees and partner commission. Twilio carrier cost stays with the customer. With these sliders, the customer still contributes cash. The heatmap is where payback breaks.
Weighted by your plan mix. This is list price only, not extra credits. Scale is a bigger share of revenue than of customers.
The other assumptions stay as they are. Teal means 3× or better. Gold means at least 1.5×. Grey is below that. The outlined cell is closest to your sliders.

Every rate is a slider. This is not measured conversion. The implied cost per customer is next to the chart.
Paying customers in that block: 8.4 · Cost per customer: $893
08 · The raise
Fixed split of the US$3 million seed. A proposal, not money already spent.
US$166,667 a month for 18 months. Zero at month 18. A planning line, not a spend forecast. Australian-dollar revenue is a different chart.
The three boxes above are the US dollar raise. The lines below are the Australian-dollar model, with the sliders as they are now.
Card payments in the shop, background location alerts, SMS from the owner’s number, and ads connections are on the roadmap. Some of them need another company’s approval. This raise does not promise them. Partner commission is 20% of payments for life. That cost is already in the model. Move the partner slider to see when it gets too expensive.

Adding the agent forecast to the CRM forecast counts some of the same future twice. Each source is shown on its own. There is no single market-size number on this page.
Polaris says about two-thirds of 2025 agent spend was enterprise. Small owners are who we sell to. They are not where the money is yet.
HubSpot, Zoho, Salesforce and GoHighLevel can add an agent to customers they already have. We do not have that base. What we sell is Approve, prices taken from the owner’s own list, and a setup that takes minutes.
Approve, the source list, and the block on untraced figures are in the software. They can still fail if a later release lets the model skip them. A button the model can ignore is not enough.
Claim fences cut the language the draft is allowed to use. They are not an AHPRA opinion, a warranty from us, or clinical, legal, or financial advice. The owner is responsible for what they approve.
Certified export attaches the sources and the approval record. It is not an audit, a valuation, or a document issued by a government or a professional body.
Voice and video are the expensive jobs. The manual prices them in credits. Owners can bring their own model keys. The 68% margin in the model is an input. Move the slider.
Australia’s business exit rate was 13.8% in 2025–26, before any problem with our software. 4% of customers leaving each month is about 39% a year. The heatmap shows that.
Partners get 20% of payments for life. That buys a sales channel and it never stops costing. The cost to win a small-business customer is often higher than a demo slide. The funnel on this page is a guess until we measure it.
Google, Twilio, Slack and the ad networks can refuse a connection. Ads are waiting on their approval. Phone carrier charges are not our revenue.
Edition 2 says what is built. It does not state customers, revenue, retention, or a cohort. Ask for those outside this page. Do not assume them.
Not in Australia. Not in the United States. A real raise is made only with its own documents, to the people the law of that place allows. Read Disclaimers.

This briefing is given only to a limited number of persons who may be considering a seed investment. That includes persons who may be sophisticated investors under section 708(8) of the Corporations Act 2001 (Cth), professional investors under section 708(11), or other persons to whom securities may lawfully be offered without a disclosure document under Chapter 6D. Whether a person qualifies is for that person and their advisers. This page does not decide it.
This page is not a prospectus, a product disclosure statement, an offer information statement, or any other disclosure document. It is not an offer or invitation to subscribe for, buy, or sell shares or any other financial product. There is no application form. Do not send money because of this page.
If an offer of shares is made later, it will be made only in a separate subscription agreement, and only to persons to whom a disclosure document is not required, or under a disclosure document if the law requires one.
United States
This page is not an offer to sell, and not a solicitation of an offer to buy, any security in the United States or to any U.S. person (as defined in Regulation S under the U.S. Securities Act of 1933). The shares of VivoVac Pty Ltd have not been registered under the Securities Act, or under the securities laws of any U.S. state, and may not be offered or sold in the United States or to U.S. persons except under an exemption from registration, or in a transaction not subject to registration.
Reading this page does not open a private placement. It is not a private placement memorandum. It is not an offering under Regulation D, including Rule 506(b) or Rule 506(c), under Regulation S, or under any state blue-sky law. No U.S. federal or state securities commission, and no self-regulatory organisation, has approved or disapproved this briefing or any securities of the company.
If the company later places shares with United States investors, that placement will use separate documents, will be limited to persons who then qualify under the exemption counsel advises (which may include “accredited investors” as defined in Rule 501 of Regulation D), and will be made only as the law then allows. This page is not a promise to make that placement or to accept any U.S. investor. U.S. readers need their own U.S. legal, tax, and securities advice, including on resale limits and on holding shares in an Australian company.
Not advice
Nothing on this page is financial product advice, personal advice, or general advice for the purposes of the Corporations Act. VivoVac does not, by this page, provide a financial service under an Australian financial services licence. The page does not consider any person’s objectives, financial situation, or needs.
Nothing on this page is investment, legal, tax, accounting, medical, clinical, or business advice in Australia, the United States, or anywhere else. It is not a recommendation to acquire, hold, or dispose of any financial product. Each reader should take advice from their own licensed or admitted advisers before acting, and should do their own due diligence.
Charts, sliders, and the model are illustrations. They are not forecasts the company undertakes to meet, and they are not guarantees. Forward-looking statements speak only as at 28 October 2026. Results will differ. Risks include those listed above, and others. Do not add Australian-dollar model outputs to the US-dollar raise.
Industry packs, including aesthetics and clinic language fences, are drafting limits inside the software. They are not clinical advice, not an opinion on the Health Practitioner Regulation National Law or AHPRA advertising rules, and not a substitute for the owner’s professional duties. The owner remains responsible for every output they approve.
A certified export is a PDF or JSON file produced by the product. It carries the approved text, the fact sources the product stored, and the approval record. It is not an audit, a legal opinion, a valuation, or a certificate of any government, regulator, or professional body.
Competitor descriptions are the company’s reading of public material as at 28 October 2026. They are not an independent test. Product behaviour described as live is the company’s description as at that date and may change, fail, or be withdrawn. No customer count, revenue, or retention figure is stated, because none is claimed.
